These Terms of Service ("Terms") form a binding contract between you ("you", "user") and MnM Labs Inc., a Delaware corporation ("MnM Labs", "we", "us", "our"). The Terms govern your access to and use of The Fridge mobile application, related websites, APIs, voice features, and any other products or services we offer (collectively, the "Service").

By creating an account, downloading, installing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

PLEASE READ SECTION 14 (DISPUTE RESOLUTION; ARBITRATION) CAREFULLY. IT REQUIRES MOST DISPUTES TO BE RESOLVED BY INDIVIDUAL BINDING ARBITRATION AND WAIVES YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION.

1. The Service

The Fridge is an AI-assisted cooking application that helps you track pantry inventory, scan groceries, plan meals, and cook hands-free using voice. The Service includes generative-AI features that produce recipe suggestions, ingredient substitutions, cooking instructions, nutritional estimates, and other text and audio output.

We may add, modify, or remove features at any time. The Service is provided "as is" and "as available."

2. Eligibility & Accounts

Age. You must be at least 13 years old to use the Service. If you are under 18, you represent that a parent or legal guardian has reviewed and accepted these Terms on your behalf.

Account creation. You may need to register with Apple Sign In, Google Sign In, or other authentication methods. You agree to provide accurate, current, and complete information.

Account security. You are responsible for safeguarding your credentials and any actions taken through your account. Notify us immediately at support@mnm.ag if you suspect unauthorized use.

One account per person. You may not create accounts using automated means or hold multiple active accounts without our consent.

3. Subscriptions, Billing & Refunds

The Service may offer free tiers, free trials, and paid subscriptions ("Subscriptions"). Pricing, features, and limits are shown in the app at the time of purchase.

Apple-billed Subscriptions. Subscriptions purchased through Apple's App Store are billed by Apple under Apple's terms. You manage and cancel Apple-billed Subscriptions in your Apple ID settings. Apple's standard refund policy applies; we cannot issue refunds for Apple-billed purchases.

Auto-renewal. Subscriptions automatically renew at the then-current price unless you cancel at least 24 hours before the end of the current period.

Free trials. A free trial converts to a paid Subscription at the end of the trial unless you cancel beforehand.

Price changes. We may change Subscription pricing on at least 30 days' notice. Changes take effect at the next renewal.

Taxes. Prices may exclude applicable taxes, which you are responsible for.

4. Acceptable Use

You agree not to:

  • Use the Service to create, share, or attempt to obtain content that is illegal, infringing, defamatory, harassing, hateful, or sexually explicit involving minors.
  • Reverse engineer, decompile, or attempt to derive source code, models, or weights from the Service, except as permitted by applicable law.
  • Use the Service to develop or train competing AI models, including by scraping outputs.
  • Probe, scan, or test the vulnerability of the Service, or breach any security or authentication measures.
  • Submit content you do not have rights to submit, including copyrighted images you do not own or license.
  • Use automated means (bots, scrapers) to access the Service except via APIs we expressly authorize.
  • Resell, sublicense, or commercially exploit the Service without our written consent.
  • Submit false, misleading, or harmful content (e.g. fabricated allergy information, malicious recipe edits intended to harm others).
  • Interfere with other users' use of the Service.

We may suspend or terminate access for any violation, with or without notice.

5. AI-Generated Content & No Professional Advice

The Service uses generative AI (large language models, voice-synthesis models, image-recognition models) to produce recipes, substitutions, instructions, nutritional estimates, voice replies, and other content ("AI Output"). AI Output:

  • May be inaccurate, incomplete, or out of date.
  • May contain fabricated facts ("hallucinations"), including incorrect ingredient identification, misidentified pantry items, wrong cook times, or unsafe substitutions.
  • Is not professional advice. It is not a substitute for a licensed nutritionist, dietitian, allergist, physician, food-safety professional, or chef.

You are solely responsible for evaluating AI Output before acting on it, including verifying ingredient identification, allergen warnings, food-safety practices, internal cooking temperatures, and nutritional claims.

Health and safety. Do not rely on the Service for medical, dietary, or health decisions, especially regarding food allergies, intolerances, pregnancy, infants, immunocompromised individuals, or any condition requiring medical supervision.

Food safety. Cooking involves risk of foodborne illness, burns, fire, and injury. Always verify safe internal temperatures (USDA guidelines), proper raw-food handling, and allergen separation independently of the Service.

6. Voice & Audio

Voice recording. When you use voice features, the Service captures audio from your device's microphone and sends it to third-party voice providers (currently ElevenLabs) and language-model providers for transcription, response generation, and synthesized voice playback.

Consent. By enabling voice features, you consent to the recording, transmission, and processing of your voice. Do not use voice features in jurisdictions where such recording is unlawful without all parties' consent, and do not record third parties without their consent.

Background audio. Speak only what you intend to send. The Service does not pre-screen audio before transmission to providers.

7. Photos, Scans & User Content

Your content. You retain ownership of photos, voice recordings, pantry data, recipe ratings, notes, and other content you submit ("User Content").

License to us. You grant MnM Labs a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, process, transmit, display, and create derivative works of User Content solely to operate, secure, support, and improve the Service for you. We do not use User Content to train third-party AI models or sell it. We may use de-identified, aggregated data for analytics and Service improvement.

Photo uploads. Photos you submit (food, receipts, barcodes) are sent to image-recognition providers (currently Google Gemini) for analysis. Do not upload photos containing third parties without their consent or any content prohibited by Section 4.

Removal. We may remove User Content that violates these Terms or applicable law. You may delete your User Content via the Service or by contacting support@mnm.ag.

8. Our Intellectual Property

The Service, including software, designs, logos, AI prompts, knowledge bases, recipe corpus, voice persona, and all other materials we provide, is owned by MnM Labs or its licensors and is protected by copyright, trademark, and other laws.

We grant you a limited, revocable, non-transferable, non-sublicensable license to use the Service for personal, non-commercial purposes consistent with these Terms.

"The Fridge," "MnM Labs," and related logos are trademarks of MnM Labs Inc. You may not use them without our written permission.

9. Third-Party Services

The Service relies on third-party providers, including Apple, Google, OpenAI, Google Gemini, ElevenLabs, Supabase, Railway, and Sentry. Your use of those providers' services through the Service is subject to their terms. We are not responsible for third-party content, availability, or actions.

10. Privacy

Our collection and use of personal information is described in the Privacy Policy, which is incorporated into these Terms by reference.

11. Termination

By you. You may stop using the Service and delete your account at any time via the Service or by emailing support@mnm.ag.

By us. We may suspend or terminate your access immediately, without notice, if you violate these Terms, create risk or possible legal exposure, or use the Service in a way that adversely affects other users.

Effect of termination. Sections that by their nature survive termination (Sections 5, 7-9, 12-16) survive. Paid Subscriptions continue until the end of the current period; refunds are governed by Section 3.

12. Disclaimers

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MNM LABS AND ITS LICENSORS DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT AI OUTPUT WILL BE ACCURATE, RELIABLE, OR SUITABLE FOR YOUR PURPOSES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES; IN THOSE JURISDICTIONS, THE ABOVE EXCLUSIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

(a) MnM Labs and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, even if advised of the possibility, arising out of or relating to the Service or these Terms.

(b) MnM Labs's total cumulative liability arising out of or relating to the Service or these Terms will not exceed the greater of (i) the total fees you paid us in the 12 months immediately preceding the event giving rise to the claim, or (ii) US $100.

(c) The limitations in this Section apply to all claims, whether in contract, tort (including negligence), strict liability, or any other theory.

(d) Some jurisdictions do not allow these limitations; they apply to the maximum extent permitted by law.

14. Dispute Resolution; Binding Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Informal resolution. Before filing a claim, you and MnM Labs agree to attempt informal resolution by emailing support@mnm.ag with a description of the dispute. The parties will negotiate in good faith for at least 60 days.

Binding arbitration. Any dispute, claim, or controversy arising out of or relating to the Service or these Terms that is not resolved informally will be resolved exclusively by final, binding, individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in English, in Wilmington, Delaware, or remotely at the consumer's option. The arbitrator's decision is binding and may be entered as a judgment in any court.

Class-action waiver. You and MnM Labs each waive any right to a jury trial and to participate in a class action, class arbitration, or representative action. Disputes must be brought in the parties' individual capacity.

Exceptions. Either party may (a) bring an individual action in small-claims court, (b) seek injunctive relief in court for intellectual-property infringement, and (c) opt out of arbitration by emailing support@mnm.ag within 30 days of first accepting these Terms with the subject "Arbitration Opt-Out."

Federal Arbitration Act. This Section is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq.

15. Governing Law

These Terms and any non-arbitrable disputes are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. The exclusive venue for any non-arbitrable dispute is the state and federal courts located in New Castle County, Delaware, and you consent to personal jurisdiction there.

16. Indemnification

You agree to defend, indemnify, and hold harmless MnM Labs and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Service, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any law or third-party right.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email at least 14 days before they take effect. Your continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service.

18. Apple-Specific Terms

If you obtained the Service from the Apple App Store:

  • These Terms are between you and MnM Labs only, not Apple. Apple is not responsible for the Service or its content.
  • Apple has no obligation to provide maintenance or support for the Service.
  • In the event of any product warranty failure, you may notify Apple, and Apple will refund the purchase price of the app (if any). To the maximum extent permitted by law, Apple has no other warranty obligation.
  • MnM Labs (not Apple) is responsible for addressing any claims that the Service or your possession or use of it (a) fails to conform to applicable warranty, or (b) infringes a third party's intellectual-property rights.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

19. Export & Sanctions

You represent that you are not located in, and not a national or resident of, any country subject to U.S. embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. government list of prohibited or restricted parties.

20. Miscellaneous

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and MnM Labs and supersede prior agreements on the same subject.

Assignment. You may not assign these Terms. We may assign without restriction.

Severability. If any provision is held unenforceable, the remainder remains in effect.

No waiver. Our failure to enforce any provision is not a waiver.

Notices. We may give notice through the Service, by email, or by any other reasonable means. You may give notice to support@mnm.ag.

Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control.
